UpsellPlus Earn Program Participation Agreement

Overview

The Earn Program allows participating merchants to earn revenue by displaying third-party advertisements, offers, recommendations, or sponsored content on eligible post-purchase surfaces, including Shopify Thank You Pages and Order Status Pages. Participation in the Earn Program is voluntary and may be enabled or disabled by Merchant at any time, subject to these terms.

Program Operation

UpsellPlus may display, manage, optimize, and remove advertisements, sponsored placements, offers, and other monetized content through the Earn Program.

UpsellPlus retains sole discretion over:
‍

• Advertiser participation
• Campaign selection
• Ad inventory allocation
• Placement configuration
• Monetization methodology
• Targeting and optimization decisions
• Revenue-share calculations and reporting

UpsellPlus may modify or discontinue any aspect of the Earn Program at any time.

UpsellPlus may engage third-party service providers, advertising networks, demand partners, payment processors, and technology providers to operate the Earn Program. Merchant acknowledges that such providers may change from time to time without notice.

Merchant Revenue Share

Eligible merchants may receive a revenue share based on advertising revenue generated through the Earn Program.

UpsellPlus will determine Merchant's revenue share percentage and payout structure in its sole discretion and may modify such terms upon notice.

Merchant acknowledges that:
‍

• Revenue is not guaranteed.
• Earnings may vary significantly over time.
• Historical earnings do not guarantee future results.
• UpsellPlus makes no representation regarding expected earnings.

Any estimates, projections, calculators, examples, case studies, or benchmarks are provided for illustrative purposes only and do not constitute guarantees.

Payouts

Revenue-share payouts, if any, will be made according to the payout schedule communicated by UpsellPlus.

UpsellPlus may establish:

• Minimum payout thresholds
• Payment methods
• Tax documentation requirements
• Account verification requirements

UpsellPlus may withhold, offset, reverse, or adjust earnings arising from:
‍

• Invalid traffic
• Fraudulent activity
• Chargebacks
• Advertiser disputes
• Billing corrections
• Technical errors
• Violations of this Agreement

No payout obligation arises until UpsellPlus has received corresponding funds from advertising partners.

Invalid Activity

Merchant shall not:
‍

• Click or interact with advertisements displayed through the Earn Program.
• Encourage employees, contractors, customers, or affiliates to click advertisements.
• Generate artificial traffic.
• Use bots, scripts, automation, or fraudulent methods.
• Manipulate impressions, clicks, conversions, or engagement metrics.

UpsellPlus may suspend participation, withhold earnings, reverse payments, or terminate participation immediately upon suspected abuse.

Advertiser Categories

UpsellPlus may determine which advertiser categories are eligible for participation. UpsellPlus may exclude or remove advertisers, categories, campaigns, or placements at any time. Merchant may be offered category controls or exclusions, but UpsellPlus does not guarantee availability of any specific advertiser, category, or exclusion option.

Merchant Authorization

Merchant authorizes UpsellPlus to:
‍

• Display eligible advertisements and sponsored content on participating surfaces.
• Collect and process performance data related to such content.
• Optimize placement, presentation, and advertiser selection.
• Share reporting and performance information with advertising partners as reasonably necessary to operate the Earn Program.

No Guaranteed Availability

UpsellPlus does not guarantee:
‍

• Advertiser demand
• Ad fill rates
• Campaign availability
• Impression volume
• Click-through rates
• Conversion rates
• Earnings levels
• Program availability in any geography

Availability may vary by market, industry, merchant profile, traffic characteristics, or advertiser demand.

Taxes

Merchant is solely responsible for all taxes, reporting obligations, duties, fees, or governmental assessments arising from participation in the Earn Program or receipt of any revenue-share payments.

Suspension and Termination

UpsellPlus may suspend or terminate Merchant's participation in the Earn Program at any time for:
‍

• Fraud or suspected fraud
• Policy violations
• Security concerns
• Compliance concerns
• Advertiser complaints
• Shopify policy concerns
• Reputational risk
• Operational reasons

Termination of Earn Program participation does not terminate Merchant's UpsellPlus subscription unless otherwise specified.

Limitation of Liability

UpsellPlus shall not be liable for any loss of earnings, lost profits, loss of advertiser demand, interruption of monetization, or reduction in anticipated revenue arising from participation in the Earn Program.

Changes

UpsellPlus may modify this Agreement at any time by posting an updated version. Continued participation in the Earn Program following such updates constitutes acceptance of the revised terms.

Relationship to UpsellPlus Terms of Service

This Agreement supplements the UpsellPlus Terms of Service. In the event of any conflict, this Agreement shall govern solely with respect to the Earn Program.
